1. Scope of Agreement
1.1 These Terms & Conditions (“Terms”) govern all products and services provided by The Right Shutters, including but not limited to:
(a) Supply, fabrication, and installation of hurricane shutters and related materials;
(b) Routine maintenance, inspection, or repair services;
(c) Subscription-based or recurring maintenance programs; and
(d) Emergency or priority service visits.
1.2 By requesting, purchasing, or receiving any service from The Right Shutters, the customer (“you,” “your,” or “customer”) agrees to these Terms in full.
1.3 Addendums may supplement these Terms for specific services such as Maintenance Subscription, Installation & Product Sales, Emergency & Priority Service, or Manufactured Products.
1.4 In case of conflict, the provisions of the applicable Addendum will prevail for that specific service.
2. Payments and Billing
2.1 Payment for products or services is due as stated in the corresponding estimate, invoice, or agreement.
2.2 Accepted payment methods include credit card, debit card, check, or ACH transfer.
2.3 Balances unpaid after thirty (30) days may accrue late fees and result in suspension of service scheduling.
2.4 Returned or dishonored payments shall incur a fifty-dollar ($50.00) fee per occurrence, plus applicable bank fees.
3. Automatic Payment Authorization
3.1 By providing a payment method, you authorize The Right Shutters to securely store payment credentials and automatically process transactions for:
(a) Approved estimates or invoices;
(b) Renewals or continuations of recurring services;
(c) Cancellation or rescheduling fees; and
(d) Any other amount authorized under these Terms.
3.2 All payment data is stored and processed in compliance with PCI-DSS security standards.
3.3 Electronic receipts will be provided for all transactions.
4. Universal Payment Authorization (Expanded Clause)
4.1 The customer authorizes The Right Shutters to securely store and process payment information for all approved transactions, including deposits, scheduled installments, recurring charges, and outstanding balances.
4.2 Stored payment information may be used to process due amounts for any service, subscription, product purchase, or addendum covered under these Terms.
4.3 Prior to any automatic charge for overdue balances, The Right Shutters shall issue at least two (2) written or electronic reminders.
4.4 All payment data shall be stored and processed in compliance with PCI-DSS standards.
4.5 An electronic receipt shall be issued for any transaction processed under this authorization.
5. Card Authorization and Billing Disputes
5.1 By maintaining an active account or subscription, you consent to electronic billing and agree not to initiate chargebacks for charges consistent with these Terms.
5.2 In the event of a billing concern, you must first contact the Company to allow resolution prior to filing a dispute with your financial institution.
6. Legal Fees, Collection Costs, and Credit Reporting
6.1 In the event of non-payment, chargeback, or breach, the customer shall be responsible for all reasonable attorney’s fees, court costs, and collection fees incurred by The Right Shutters.
6.2 The Company reserves the right to assign or sell delinquent accounts to collection agencies or report unpaid debts to credit bureaus.
6.3 Interest may accrue on overdue balances at the maximum rate permitted by Florida law.
7. Customer Responsibilities
7.1 The customer must provide safe, unobstructed access to all work areas.
7.2 You are responsible for securing pets, removing furniture or obstacles, and disclosing any known hazards or access limitations before service begins.
7.3 Failure to provide a safe or accessible environment may result in rescheduling and applicable fees as outlined in the relevant Addendum.
8. Access and Safety
8.1 The customer grants The Right Shutters permission to enter the property during normal business hours to perform inspections, installations, or service work.
8.2 If access is restricted (e.g., gated communities or security codes), the customer must provide entry information prior to the scheduled appointment.
8.3 The Company reserves the right to postpone or refuse service in the event of unsafe conditions, including structural instability, active construction, aggressive animals, or unsafe electrical exposure.
9. Equipment, Access, and Property Conditions
9.1 Standard service pricing applies to properties that can be serviced using standard ladders, lifts, or tools.
9.2 Properties requiring specialized equipment (e.g., scaffolding, cranes, or permits) may incur additional charges.
9.3 The customer shall bear the full cost of such specialized access unless otherwise agreed in writing.
9.4 If landscaping, obstructions, or environmental conditions restrict access, The Right Shutters reserves the right to reschedule or adjust pricing accordingly.
10. Liability Limitation and Customer Indemnification
10.1 The Right Shutters’ total liability for any claim shall not exceed the total amount paid by the customer within the three (3) months preceding the incident.
10.2 The Company shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of use or profit.
10.3 The customer agrees to indemnify, defend, and hold harmless The Right Shutters, its officers, employees, and subcontractors from any and all claims arising from:
(a) Customer negligence, misuse, or failure to maintain products;
(b) Unauthorized modifications or interference by third parties; or
(c) Misrepresentation of property conditions or permitting data.
10.4 This clause shall survive contract termination or expiration.
11. Exclusions and Limitations
11.1 The Company shall not be responsible for:
(a) Damage caused by storms, flooding, misuse, or neglect;
(b) Repairs, part replacements, or upgrades unless separately contracted; or
(c) Cosmetic issues such as corrosion, fading, or paint wear.
11.2 Preventative maintenance reduces risk but does not guarantee performance under extreme weather.
11.3 This agreement is not an insurance or repair warranty and does not replace manufacturer warranties or homeowner insurance.
12. Force-Majeure and Government Action
12.1 The Company shall not be liable for delays or failure to perform due to causes beyond its reasonable control, including but not limited to:
(a) Natural disasters, hurricanes, or flooding;
(b) Material shortages or supply-chain disruptions;
(c) Labor strikes, pandemics, or transportation failures; and
(d) Government actions, permit delays, or code revisions.
12.2 All schedules and delivery dates shall automatically extend without penalty during such events.
12.3 The Company will make reasonable efforts to resume work promptly once conditions permit.
13. Technicians and Subcontractors
13.1 Services may be performed by Company employees or qualified subcontractors.
13.2 All personnel must adhere to Company safety and quality standards.
13.3 The Right Shutters remains responsible for workmanship performed under its supervision.
14. Price Adjustments
14.1 The Company reserves the right to modify prices annually to reflect increases in operational costs, including materials, labor, or transportation.
14.2 Customers will receive written notice at least thirty (30) days prior to any rate change affecting recurring or scheduled services.
15. Duty to Report Issues
15.1 Customers must report any service-related issues or concerns within seven (7) calendar days of completion.
15.2 Failure to report within that period may limit the Company’s ability to investigate or remedy the issue.
16. Non-Transferability
16.1 Agreements, warranties, and rights are specific to the named customer and property address.
16.2 Transfer of ownership or relocation requires prior written approval from The Right Shutters.
17. Refunds and Disputed Charges
17.1 Payments are non-refundable once services are rendered or materials are ordered, except in cases of duplicate billing or Company error.
17.2 Verified billing errors will be corrected or credited accordingly.
18. Photo and Video Evidence Authorization
18.1 The customer authorizes The Right Shutters to capture photo or video documentation of services performed for recordkeeping, quality control, and as evidence in the event of a dispute.
18.2 Such documentation may also be used to verify warranty validity or service completion.
18.3 These records are distinct from promotional materials and will not be publicly shared without consent.
19. Media and Photo Use for Marketing
19.1 The Right Shutters may photograph or record shutters, installations, or service activities for documentation, training, or promotional purposes.
19.2 No personally identifying information will be disclosed without consent.
19.3 Customers may opt out of promotional photo use by submitting a written request via email.
20. Intellectual Property
20.1 All logos, designs, photos, reports, and content created by The Right Shutters remain its exclusive property.
20.2 No reproduction, modification, or commercial use is permitted without written authorization.
21. Data Protection and Privacy
21.1 The Right Shutters collects and processes customer data solely for legitimate business purposes such as estimating, billing, scheduling, and communication.
21.2 All data is handled in compliance with PCI-DSS and applicable U.S. privacy standards.
21.3 Our full Privacy Policy, available at www.therightshutters.com/privacy, is incorporated herein by reference.
22. Communication and Notices
22.1 Official notices, invoices, and updates may be delivered electronically to the customer’s email address on file.
22.2 It is the customer’s responsibility to maintain accurate contact information.
22.3 Electronic communications are deemed received on the date transmitted.
23. Communication and Marketing Consent
23.1 By engaging with The Right Shutters, the customer consents to receive service-related notifications, invoices, and updates by email, SMS, or automated systems.
23.2 Promotional communications may be sent by email, text, or phone; the customer may opt out at any time by following unsubscribe instructions or contacting the Company directly.
23.3 Phone calls or messages may be recorded or logged for quality assurance and documentation.
24. Dispute Escalation Prior to Legal Action
24.1 Before filing arbitration, litigation, or complaints with agencies, the customer shall submit a written statement detailing the concern and allow The Right Shutters fifteen (15) business days to respond.
24.2 Failure to follow this procedure constitutes a waiver of any claim for damages or attorney’s fees related to the dispute.
24.3 This clause encourages good-faith resolution through communication and documentation prior to legal escalation.
25. Dispute Resolution and Governing Law
25.1 All disputes shall be governed by and construed under the laws of the State of Florida.
25.2 The exclusive venue for any dispute shall be Pinellas County, Florida.
25.3 Any unresolved claim after Section 24 shall proceed to binding arbitration.
25.4 The prevailing party in any action or arbitration shall be entitled to recover reasonable attorney’s fees and costs.
26. Price Adjustments and Modifications
26.1 The Company may adjust service or product pricing annually to reflect changes in material or labor costs.
26.2 Customers will receive at least thirty (30) days’ written notice before any price adjustment takes effect.
27. Inspection and Acceptance of Work
27.1 Upon completion of any installation or service, the customer shall inspect the work performed.
27.2 Unless written notice of defect is submitted within forty-eight (48) hours, the work is deemed accepted.
27.3 Acceptance does not void warranties but confirms visible and functional compliance at completion.
28. Performance Under Extreme Conditions
28.1 Hurricane shutters and protection systems mitigate risk but cannot guarantee absolute protection.
28.2 The Company is not liable for damage caused by weather conditions exceeding product design, improper third-party installation, or customer negligence.
29. Customer Cooperation and Delays
29.1 The customer agrees to cooperate with documentation, approvals, and scheduling necessary to perform services.
29.2 Delays caused by lack of response, access, or payment do not constitute breach by the Company.
29.3 The Company may adjust scheduling or pricing if such delays increase labor or material costs.
30. Waiver of Consequential Damages
30.1 In no event shall The Right Shutters be liable for indirect, incidental, or consequential damages, including loss of use, profits, or property value.
30.2 The customer’s sole remedy is limited to the cost of the specific service or product rendered.
31. Product Compatibility and Third-Party Modifications
31.1 The Company is not responsible for issues arising from repainting, re-installation, or alterations by others.
31.2 Use of non-approved parts or accessories voids any workmanship warranty and releases the Company from liability.
32. Legal Fees, Collection Costs, and Credit Reporting
32.1 In cases of non-payment, the customer shall bear all reasonable attorney’s fees, court costs, and collection expenses.
32.2 The Company may assign or sell delinquent accounts to third-party agencies and report unpaid balances to credit bureaus.
32.3 Interest may accrue on overdue balances at the maximum rate allowed by Florida law.
33. Customer Indemnification
33.1 The customer shall indemnify, defend, and hold harmless The Right Shutters, its employees, and subcontractors from claims or damages arising from property conditions except where caused by the Company’s gross negligence.
33.2 This includes hazards, electrical issues, structural instability, environmental conditions, or interference by third parties.
34. Permits and Regulatory Compliance
34.1 Unless expressly included in writing, the customer is responsible for obtaining all required permits, variances, or HOA approvals.
34.2 The Right Shutters shall not be liable for delays, penalties, or costs resulting from failure to secure such approvals.
34.3 The Company operates under valid Florida licenses and insurance and complies with state and municipal building codes.
34.4 Customers agree to cooperate in signing or providing documents required for permit applications or inspections.
35. Limitation of Claims Period
35.1 Any claim arising under these Terms must be filed within one (1) year of the event giving rise to the claim, regardless of longer statutory limits.
36. Digital and Electronic Signature Consent
36.1 Electronic approvals, signatures, and confirmations constitute valid written consent and acceptance of these Terms.
36.2 Electronic copies are equivalent to original signed documents and fully enforceable by law.
37. Right to Refuse or Terminate Service
37.1 The Company may refuse or terminate service if continuation would pose a safety risk, violate laws, or involve harassment or unreasonable conduct.
37.2 In such cases, the Company is entitled to payment for work performed and materials provided up to termination.
38. Fraudulent Claims and Reputation Protection
38.1 Any knowingly false or malicious complaint intended to damage the Company’s reputation constitutes defamation and may result in legal action.
38.2 The Company may publicly respond to false claims or submit factual rebuttals supported by evidence.
38.3 Customers consent to the use of documentation, communications, and photos as evidence in defense against false allegations.
39. Severability and Survival
39.1 If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
39.2 Obligations regarding payment, indemnification, confidentiality, and reputation protection shall survive termination or expiration of this Agreement.
40. Addendums and Conflicts
40.1 Each Addendum acts as a supplement to these Master Terms.
40.2 In the event of conflict, the specific Addendum governs only its covered service; all remaining provisions remain enforceable.
41. Acceptance
41.1 By purchasing, scheduling, or paying for any service, the customer acknowledges having read, understood, and agreed to these Master Terms & Conditions in their entirety.
INSTALLATION & PRODUCT SALES ADDENDUM
(Addendum to The Right Shutters Master Terms & Conditions)
Effective Date: 08/27/2025
Applies To: All installation projects, shutter sales, and local part sales conducted by The Right Shutters.
1. Scope of Work
1.1 This addendum governs all transactions in which The Right Shutters supplies, installs, or delivers products and/or materials to customers within the State of Florida.
1.2 Covered activities include:
(a) Supply and installation of hurricane shutters, storm panels, and accessories;
(b) Local sales of parts, accessories, and hardware (“Over-the-Counter Sales”); and
(c) Delivery or pickup of pre-assembled or cut-to-size materials.
1.3 This addendum forms part of the binding contract between The Right Shutters and the customer and must be read in conjunction with the Master Terms & Conditions.
2. Estimates, Deposits, and Payment Terms
2.1 All proposals or estimates are valid for thirty (30) days unless otherwise stated.
2.2 A deposit equal to fifty percent (50 %) of the total contract value is required to initiate material procurement, permitting, or scheduling.
2.3 The remaining balance shall be paid as follows:
(a) Forty-five percent (45 %) due upon completion of installation; and
(b) The final five percent (5 %) due after successful final inspection, or within thirty (30) calendar days of installation—whichever occurs first.
If the inspection has not been performed within thirty (30) days due to circumstances beyond the company’s control, the balance shall still be considered due in full.
2.4 All payments must be made via approved methods (cash, check, card, or electronic transfer) through The Right Shutters or its designated processor.
2.5 Failure to complete payment as scheduled may result in lien action, suspension of warranty, or removal of installed equipment to recover unpaid balances.
2.6 Automatic Payment of Overdue Balances — The customer authorizes The Right Shutters to securely store payment credentials for processing outstanding balances. If a balance is not paid voluntarily within the agreed period, The Right Shutters will issue two (2) payment reminders via email or text. If payment remains unpaid thereafter, the company may automatically process the outstanding balance using the payment method kept on file.
3. Permits and Inspections
3.1 The Right Shutters handles all permit applications related to the work, provided the customer supplies accurate property information and authorizes inspection access.
3.2 Customers must sign all required permit documents promptly upon request.
3.3 Failure to provide information or inspection access may result in work suspension without penalty to the company.
3.4 If a city inspection fails for reasons outside The Right Shutters’ control (locked gates, missing house numbers, customer absence, unapproved site modifications, etc.), the customer will be responsible for any re-inspection or permit-related fees.
3.5 The company will coordinate re-inspection promptly once the applicable fees are received.
4. Scheduling, Access, and Delays
4.1 Scheduling is subject to permit approval, material availability, and weather.
4.2 The customer must provide safe and unobstructed access to the property.
4.3 If access is unavailable, the property is not ready, or conditions are unsafe at the scheduled time, the visit will be rescheduled, and a $100 service fee may apply to cover travel, labor, and scheduling costs.
4.4 The Right Shutters is not liable for delays caused by external factors, including permitting agencies, suppliers, or force-majeure events.
5. Change Orders and Unforeseen Conditions
5.1 Any modification to scope, materials, or specifications requested after acceptance of the original proposal shall be considered a change order and billed separately.
5.2 The Right Shutters may adjust costs or delivery times in the event of:
(a) Unforeseen structural conditions (e.g., rotten wood, concealed electrical lines);
(b) Material shortages or manufacturer price increases;
(c) Permit revisions or inspection rejections requiring additional labor.
5.3 Customers will be informed and must approve cost adjustments prior to extra work being performed.
6. Material Substitution and Price Fluctuation
6.1 The Right Shutters reserves the right to substitute equivalent or higher-quality materials when manufacturer stock or color availability changes, provided the substitution does not reduce product performance or warranty coverage.
6.2 Prices are based on supplier costs at the time of quotation. In cases of material cost increases exceeding five percent (5 %) between the quote and order date, The Right Shutters reserves the right to adjust pricing proportionally.
6.3 Customers will be notified of any substitution or price change prior to installation and may accept or cancel without penalty within five (5) business days.
7. Material Storage and Abandonment
7.1 If materials are ordered and held beyond thirty (30) days due to customer-related delays, refusal of installation dates, or permit issues, The Right Shutters may charge a storage fee of $10 per day after written notice.
7.2 After sixty (60) days of non-response or failure to reschedule, materials shall be deemed abandoned, and The Right Shutters may dispose of, restock, or resell them without refund or liability.
8. Completion, Inspection, and Acceptance
8.1 The customer (or authorized representative) must be present at completion to review the installation.
8.2 A Completion Sign-Off Form may be issued; the customer’s signature or acknowledgment (including electronic confirmation) constitutes acceptance of work performed.
8.3 If the customer is not present and fails to respond to the completion notice within three (3) business days, the installation shall be deemed accepted as completed in good condition.
9. Warranty
9.1 All products are covered by the manufacturer’s warranty.
9.2 The Right Shutters provides a one-year (1) workmanship warranty from the installation date covering installation defects only.
9.3 Warranty excludes:
(a) Damage from misuse, neglect, impact, or weather events;
(b) Normal wear, corrosion, or cosmetic fading;
(c) Customer-installed parts or third-party alterations.
9.4 The company’s total warranty liability shall not exceed the original contract price.
10. Product-Only Sales (No Installation)
10.1 For over-the-counter sales, products are sold “as-is” and without installation warranty.
10.2 The Right Shutters assumes no responsibility for improper installation, handling, or use by the purchaser.
10.3 Title and risk of loss transfer to the buyer upon delivery or pickup.
10.4 All sales are final unless defective materials are reported within five (5) business days of purchase.
11. Ownership and Title
11.1 All materials remain the property of The Right Shutters until payment is received in full.
11.2 The company reserves the right to remove or disable installed products if payment remains outstanding after final notice, subject to applicable law.
12. Returned Checks and Disputed Payments
12.1 A $50 service fee applies to any returned or declined payments.
12.2 Customers agree not to dispute or charge back any payment related to approved services, materials, or charges disclosed herein.
12.3 Any improper chargeback will incur a $250 administrative fee plus associated bank fees.
13. No Offsetting of Claims
13.1 Customers may not withhold or reduce payment due to pending claims, complaints, or warranty requests.
13.2 All invoices must be paid in full; warranty or service issues will be addressed separately under applicable sections.
14. Subcontractors and Third-Party Work
14.1 The Right Shutters may utilize qualified subcontractors or licensed professionals for specific portions of work.
14.2 All subcontractors operate under The Right Shutters’ direction and insurance coverage.
14.3 The customer agrees not to interfere with, instruct, or hire subcontractors directly.
15. Customer-Supplied Materials or Equipment
15.1 The Right Shutters is not responsible for defects or delays caused by customer-supplied materials or accessories.
15.2 No warranty applies to any installation or service involving materials not purchased through The Right Shutters.
16. Force-Majeure and Government Delays
16.1 The company shall not be liable for delays, cost increases, or inability to perform work due to events beyond its control, including hurricanes, flooding, supply-chain disruptions, labor shortages, or government actions.
16.2 In such events, all contractual deadlines shall automatically extend without penalty.
17. Customer Interference and Liability
17.1 The Right Shutters shall not be held liable for delays, damage, or additional costs arising from customer interference, unauthorized adjustments, or the hiring of third-party contractors before project completion.
17.2 Any corrective work required as a result will be billed separately.
18. Photo & Marketing Use
18.1 The customer authorizes The Right Shutters to document installation progress and completed projects through photography or video for documentation, quality control, or marketing.
18.2 The Right Shutters retains the right to use non-identifiable photos or videos of completed work in marketing materials, portfolios, and advertisements.
18.3 Customers may opt out of marketing use by submitting a written request.
19. Safety Disclaimer
19.1 The Right Shutters shall not be responsible for pre-existing structural, electrical, or mechanical conditions discovered during installation.
19.2 Any additional work required to correct such conditions will be quoted separately before proceeding.
20. Third-Party Inspection Waiver
20.1 Independent inspectors or third-party representatives not contracted through The Right Shutters may not delay or interfere with work without company authorization.
20.2 If such interference occurs, the company reserves the right to pause or reschedule work and charge for associated downtime.
21. Photo Evidence and Documentation Rights
21.1 The Right Shutters reserves the right to take and store photographic evidence of project progress, installations, or product conditions for documentation, quality assurance, or dispute resolution.
21.2 These photos are separate from marketing materials and may be used to defend against fraudulent claims or chargebacks.
22. Dispute Escalation Before Legal Action
22.1 Before initiating any legal or arbitration action, the customer must submit a written complaint describing the issue and allow The Right Shutters fifteen (15) business days to review and respond.
22.2 Failure to follow this process constitutes a waiver of the right to recover costs or damages in any related dispute.
23. Legal Fees and Collections
23.1 In any action to collect payment or enforce this Addendum, the customer shall be responsible for all reasonable attorney’s fees, collection agency fees, and court costs incurred by The Right Shutters.
23.2 The Right Shutters may report unpaid accounts to credit bureaus or assign them to collections after thirty (30) days past due.
24. Statutory Compliance & Licensing
24.1 All work shall comply with applicable Florida Building Code requirements, municipal permitting rules, and state contractor regulations.
24.2 The Right Shutters operates under valid state and local licensure. Proof of licensing and insurance is available upon request.
25. Liability & Indemnification
25.1 The Right Shutters is not liable for consequential damages, loss of use, or indirect losses arising from product failure, delays, or third-party actions.
25.2 The customer agrees to indemnify and hold harmless The Right Shutters and its employees from claims or costs resulting from misuse, unauthorized modifications, or negligence.
26. Termination
26.1 The Right Shutters may terminate a contract without liability if the customer:
(a) Fails to make payment;
(b) Denies access or inspection; or
(c) Engages in threatening or obstructive behavior.
26.2 Upon termination, all work completed and materials ordered shall be invoiced and payable immediately.
27. Governing Law
27.1 This Addendum shall be governed by the laws of the State of Florida.
27.2 Venue for all disputes shall lie exclusively in Pinellas County, Florida.
28. Acceptance
28.1 By signing a proposal, paying a deposit, or approving an invoice, the customer acknowledges having read, understood, and agreed to this Installation & Product Sales Addendum and the accompanying Master Terms & Conditions.
SERVICE, REPAIR & MAINTENANCE ADDENDUM
(Addendum to The Right Shutters Master Terms & Conditions)
Effective Date: 08/27/2025
Applies To: All diagnostic, service, repair, or maintenance work performed by The Right Shutters on any property or shutter system not covered by an installation or subscription agreement.
Definitions
For the purposes of this Addendum:

“Diagnostic Visit” means an on-site inspection or troubleshooting service to identify issues, determine repair feasibility, or assess safety and compliance conditions.

“Unsafe System” means any shutter or related component that presents a risk of failure, electrical hazard, or noncompliance under the current Florida Building Code or HVHZ standards.

“Customer Approval” means written, verbal, or electronic consent from the customer authorizing work or charges to proceed.
1. Scope of Work
1.1 This Addendum governs all on-site diagnostic, service, maintenance, or repair activities performed by The Right Shutters.
1.2 Services may include, but are not limited to:
(a) Diagnostic inspections, troubleshooting, and system assessments;
(b) Mechanical adjustment, lubrication, and alignment of shutters;
(c) Replacement of hardware or minor components (pins, locks, handles, gears, end caps, etc.); and
(d) Written service reports or repair estimates.
1.3 These terms apply to all properties, whether the shutter systems were originally installed by The Right Shutters or a third party.
2. Service Rates and Diagnostic Fees
2.1 A minimum troubleshooting and diagnostic rate of $225 applies for the first hour, covering two technicians.
2.2 Additional time is billed at $80 per hour per technician thereafter.
2.3 This minimum rate covers only diagnostic and evaluation work; costs for parts are billed separately.
2.4 If troubleshooting determines that immediate repair is possible and safe, work may continue the same day only with the customer’s approval and will be billed accordingly.
2.5 If the repair requires additional parts, materials, or time beyond the diagnostic scope, it will be scheduled separately under a fixed-price repair estimate including parts and labor.
2.6 Travel within the company’s standard service area is included; mileage or tolls may apply for locations beyond this area.
2.7 Emergency, after-hours, or weekend service rates may apply at 1.5× standard rates.
2.8 If The Right Shutters determines a system is unsafe or not repairable, the diagnostic fee remains due in full.
3. Estimates and Customer Approval
3.1 After diagnostics, The Right Shutters will issue an estimate for any recommended repair or part replacement.
3.2 No work beyond troubleshooting will proceed without customer approval, whether written, verbal, or electronic.
3.3 Approval of any estimate authorizes the company to order materials, schedule repairs, and charge required deposits.
3.4 All repairs requiring special-order parts or extended time will be scheduled as a separate work order with a fixed total cost clearly stated in writing.
3.5 Declining an estimate does not waive diagnostic or trip fees.
4. Pre-Existing Conditions, Code Compliance, and Limitations
4.1 The Right Shutters shall not be liable for:
(a) Pre-existing damage, deterioration, corrosion, or rust;
(b) Storm, water, or electrical damage;
(c) Defects in prior installations or third-party repairs;
(d) Structural, framing, or power-related issues; or
(e) Any malfunction caused by misuse, neglect, or acts of nature.
4.2 Shutters over ten (10) years old may not meet current Florida Product Approval or HVHZ (High Velocity Hurricane Zone) standards.
4.3 The Right Shutters will inform the customer if the system is considered non-compliant or obsolete under current code requirements.
4.4 If the customer elects to proceed with a repair despite being advised that the product no longer meets current code compliance, the customer does so at their own risk, and The Right Shutters assumes no liability for damage, failure, or injury arising thereafter.
4.5 The company may recommend replacement of outdated systems with modern, code-compliant models instead of repair.
4.6 Certain obsolete or discontinued systems may be non-serviceable due to unavailable parts. In such cases, the company will issue a written recommendation for replacement, and no further service obligation shall exist.
4.7 The Right Shutters may refuse or discontinue service if the system is deemed unsafe or beyond practical repair.
4.8 The technician’s determination of safety, serviceability, or code noncompliance shall be final and binding at the time of inspection.
5. Storm Damage and Post-Storm Requests
5.1 Service requests made after a tropical storm, hurricane, or high-wind event are limited to inspection and assessment only.
5.2 Any attempt to unjam, re-engage, or force open shutters affected by storm debris is performed at the customer’s sole risk and without warranty.
5.3 The company shall not be responsible for additional damage caused by pre-existing storm conditions.
6. Access, Safety, and Equipment
6.1 The customer shall ensure safe and unobstructed access to all service areas.
6.2 For properties exceeding standard height or access conditions, lifts or scaffolding may be required and billed separately (including rental, delivery, and permits).
6.3 Unsafe conditions — including aggressive animals, electrical hazards, ongoing construction, or inclement weather — may result in postponement without penalty to the company.
7. Abandonment of Unclaimed Parts
7.1 Parts ordered for approved repairs must be installed within thirty (30) days of notification of availability.
7.2 After this period, unclaimed materials shall be deemed abandoned and may be restocked, disposed of, or resold without refund.
7.3 Storage or restocking fees may apply after written notice.
8. Cancellation and Rescheduling
8.1 Appointments canceled or rescheduled with less than twenty-four (24) hours’ notice may incur a $100 cancellation fee.
8.2 If access is denied or the property is unserviceable upon arrival, the visit shall be billed at the standard diagnostic rate.
9. Warranty on Repairs
9.1 Parts supplied by The Right Shutters are covered under the manufacturer’s warranty.
9.2 Labor performed by The Right Shutters is warranted for ninety (90) days from completion.
9.3 Warranties apply only to the specific repair performed and not the entire shutter system.
9.4 Warranty coverage is void if the system is altered, damaged by storms, neglected, or serviced by a third party after completion.
9.5 Environmental corrosion, oxidation, or fading caused by salt air or coastal exposure is excluded.
9.6 Systems older than ten (10) years repaired under this Addendum are not warranted for code compliance or storm performance and are serviced strictly at the customer’s discretion and risk.
10. Payment Terms and Authorization
10.1 Payment for services is due immediately upon completion, unless otherwise specified in writing.
10.2 For part-based repairs, deposits may be required before scheduling.
10.3 Outstanding balances not paid within five (5) business days may incur late fees.
10.4 After two (2) written or electronic reminders, the company may automatically charge any outstanding balance to the payment method on file.
10.5 The customer authorizes The Right Shutters to process charges for additional work approved during a visit, using the same payment credentials.
11. Documentation and Photo Evidence
11.1 The company may photograph or record serviced areas for documentation, quality assurance, or dispute protection.
11.2 Such photos may also be used for insurance, warranty verification, or chargeback defense.
11.3 Photos used for marketing require customer consent under the Master Terms & Conditions.
12. Customer Cooperation and Interference
12.1 Customers must refrain from interfering with technicians or altering the work area during service.
12.2 Any post-service tampering, adjustment, or third-party interference voids all warranties.
13. Third-Party and Customer-Provided Equipment
13.1 If the customer provides power, ladders, or tools for service, the customer assumes all associated risks.
13.2 The Right Shutters is not liable for failure, injury, or damage resulting from the use of customer-supplied equipment.
14. Force Majeure and Scheduling Delays
14.1 The company shall not be held liable for service delays caused by hurricanes, floods, government restrictions, labor shortages, or material unavailability.
14.2 During hurricane season or declared emergencies, non-essential service visits may be rescheduled at the company’s discretion.
15. Limit on Verbal Representations
15.1 No verbal promise, quote, or assurance made by any technician, subcontractor, or representative shall be binding unless confirmed in writing by company management.
16. Right to Refuse Service
16.1 The Right Shutters reserves the right to refuse or discontinue service to any customer who engages in abusive, threatening, or harassing behavior toward employees or subcontractors.
17. Waiver of Consequential Damages
17.1 The Right Shutters shall not be liable for indirect or consequential damages, including lost income, property damage, or inconvenience due to service delays, product failure, or repair recommendations.
18. Governing Law and Arbitration
18.1 This Addendum shall be governed by the laws of the State of Florida.
18.2 Venue for disputes shall be exclusively in Pinellas County, Florida.
18.3 Any disputes shall be resolved through binding arbitration under Florida law.
18.4 The prevailing party shall recover attorney’s fees, expert costs, and related expenses.
19. Customer Acknowledgment of Code Compliance and Risk
19.1 I understand that my shutters may not comply with current Florida Product Approval or HVHZ standards and that repairs are performed solely at my request.
19.2 I release The Right Shutters from any liability arising from the operation or failure of non-compliant, obsolete, or repaired shutter systems.
20. Acceptance
20.1 By scheduling, approving, or paying for a service visit, the customer acknowledges having read, understood, and agreed to this Service, Repair & Maintenance Addendum and the accompanying Master Terms & Conditions.
MANUFACTURED PRODUCTS ADDENDUM
(Addendum to The Right Shutters Master Terms & Conditions)
Effective Date: 08/27/2025
Applies To: All custom fabricated products sold or installed by The Right Shutters.
Reference: This Addendum is incorporated into and governed by The Right Shutters Master Terms & Conditions. In case of conflict, the provisions herein control for manufactured goods.
1. Scope of Work
1.1 This Addendum applies to all custom-manufactured items, including but not limited to accordion shutters, rolling shutters, storm panels, Bahama and Colonial shutters, and related trim or accessory pieces.
1.2 Each product is fabricated to fit the specific openings and dimensions provided by the customer or measured by The Right Shutters.
1.3 All products are manufactured in accordance with applicable Florida Product Approval standards, including FL31658, FL1850, FL32030, FL39178, or other current approvals relevant to the specific product type.
1.4 Compliance with local permitting, inspection, or engineering requirements beyond product approval remains the responsibility of the customer or property owner.
2. Custom Fabrication, Tolerances, and Material Holds
2.1 All products are cut, assembled, and finished to order. Standard dimensional tolerances are ±⅛ inch for metal fabrication and cutting.
2.2 Lead times vary depending on material availability, supplier backlog, and weather conditions. Estimated production and installation dates are provided for scheduling convenience only and are not guaranteed.
2.3 The Right Shutters shall not be held liable for delays caused by material shortages, supply chain disruption, or acts of nature.
2.4 Orders may be temporarily placed on hold if required materials become unavailable. In such cases, The Right Shutters will notify the customer and await written approval before proceeding with substitutes or revised pricing.
3. Measurements and Responsibility
3.1 If measurements are supplied by the customer, contractor, or third party, The Right Shutters assumes no responsibility for incorrect sizing or fit.
3.2 Products fabricated per customer-supplied dimensions are final and non-returnable.
3.3 When measurements are taken by The Right Shutters, fabrication will proceed based on verified site conditions at the time of measurement. Any subsequent structural or framing changes are the customer’s responsibility.
4. Color and Finish Variations
4.1 Powder-coated and painted surfaces may exhibit minor variations in tone, texture, or gloss between batches or components.
4.2 Such variations are normal and not considered defects.
4.3 The Right Shutters does not guarantee color matching to existing structures, older shutters, or prior product runs.
5. Non-Cancellable and Non-Refundable Orders
5.1 Because each product is custom fabricated, orders cannot be cancelled, modified, or refunded once production has begun.
5.2 All deposits and progress payments are non-refundable and applied to materials, labor, and allocated production time.
5.3 Any customer request to modify size, color, or configuration after production authorization constitutes a new order subject to updated pricing, new lead times, and written approval.
5.4 In the event of inconsistency, this Addendum supersedes the Master Terms & Conditions regarding cancellation and refund policy for custom-made goods.
6. Delivery, Risk of Loss, and Material Shortages
6.1 Delivery dates are estimates only and may vary based on material availability, freight carrier performance, and weather conditions.
6.2 The Right Shutters is not liable for delays caused by suppliers, carriers, or force-majeure events.
6.3 Risk of loss or damage passes to the customer upon:
(a) Physical delivery of goods to the installation site or customer pickup; or
(b) Commencement of installation on site, whichever occurs first.
6.4 Any claims for shipping damage must be reported within twenty-four (24) hours of delivery or receipt.
6.5 Once delivered or installed, all liability for theft, damage, or loss transfers to the customer.
7. Warranty and Liability
7.1 Manufacturer warranties apply to components only. Installation warranties are provided by The Right Shutters under the Master Terms & Conditions.
7.2 Warranty coverage does not apply to:
(a) Damage from improper use, neglect, or lack of maintenance;
(b) Acts of God, impact, or storm damage;
(c) Corrosion or oxidation caused by coastal or salt-air exposure; or
(d) Alterations, repairs, or modifications by third parties.
7.3 Warranty claims must be accompanied by photo evidence and proof of purchase.
7.4 The company’s liability shall not exceed the replacement cost of the defective product and shall never extend to consequential or incidental damages.
7.5 All warranties are subject to the general warranty procedures outlined in the Master Terms & Conditions.
8. Exclusions and Responsibilities
8.1 The Right Shutters is not responsible for:
(a) Architectural Review Board or HOA approvals;
(b) Building permit delays or inspection rejections related to pre-existing conditions;
(c) Code changes, wind-load revisions, or engineering updates occurring after order approval; or
(d) Structural issues, misalignment, or framing deviations existing before installation.
8.2 All measurements, colors, and specifications approved by the customer prior to production are considered final and binding.
8.3 The Right Shutters does not provide engineering services or structural certifications beyond manufacturer documentation.
9. Damage During Delivery or Installation
9.1 The Right Shutters is not responsible for cosmetic or structural damage to finished walls, stucco, trim, or existing surfaces caused by normal installation procedures unless negligence is proven.
9.2 Customers must ensure clear and safe access to all openings prior to delivery or installation.
9.3 Any obstructions, unsafe work areas, or scheduling conflicts may result in additional charges or rescheduling fees.
10. Storage and Pickup
10.1 Completed products must be installed or picked up within fifteen (15) days of notice of completion.
10.2 Storage beyond this period may incur daily fees at the company’s discretion.
10.3 The Right Shutters shall not be liable for deterioration, weathering, or damage to products stored beyond this timeframe.
10.4 Unclaimed products after thirty (30) days may be deemed abandoned and resold or disposed of without refund.
11. Photo Documentation
11.1 The Right Shutters may photograph or record fabricated products before or after delivery for quality control, documentation, or insurance purposes.
11.2 Such documentation may also be used for verification in the event of warranty, damage, or chargeback disputes.
12. Force Majeure
12.1 Delays caused by hurricanes, flooding, supplier disruption, or governmental restrictions shall automatically extend lead times without penalty or cancellation rights.
12.2 Force majeure events shall include but are not limited to natural disasters, labor strikes, pandemics, material shortages, and transportation failures.
13. Title of Authority
13.1 Only authorized representatives of The Right Shutters, duly designated by company management, may approve, sign, or modify this Addendum.
13.2 Any agreements, prices, or promises made by non-authorized individuals are void and non-binding.
14. Indemnification
14.1 The customer agrees to indemnify and hold The Right Shutters harmless from any claim, penalty, or damage arising from use, modification, or resale of fabricated products outside their intended design specifications.
14.2 This includes liability resulting from improper installation by third parties or non-compliant modifications performed without company authorization.
15. Acceptance of Product and Liability Waiver
15.1 By accepting delivery, signing a completion form, or approving installation, the customer acknowledges receipt of goods in satisfactory condition.
15.2 Acceptance constitutes acknowledgment that minor variations in color, finish, or dimension fall within normal manufacturing standards.
15.3 The customer releases The Right Shutters from liability for any damage, performance issue, or claim arising after transfer of possession or installation, except where gross negligence is proven.
